About the team:
In partnership with the businesses, we drive the purpose and success of eBay and its buyers and sellers. The team includes the company's global legal department, risk management program, and its policy group who interacts with content regulators, law enforcement, IP, corporate governance and SEC compliance, contracts, and other legal and government relations matters.
eBay Inc.’s innovative and award-winning Legal Department is seeking a Director with experience advising on securities and corporate governance matters and managing finance and other corporate transactions to join our team based in San Jose, California. Candidates based in Austin, Texas and Salt Lake City, Utah will also be considered. The ideal candidate will lead in a practical, pragmatic way on a diverse range of cutting edge corporate legal issues, including SEC reporting and compliance, board and committee support, banking and financial transactions, capital markets transactions, and M&A and other strategic transactions.
This role’s primary areas of focus include:
Advise and guide on corporate securities and SEC reporting and compliance matters (including periodic reports, proxy statements and annual reports, the annual stockholder meeting, and Section 16 filings).
Partner closely with the General Counsel and Deputy General Counsel – Corporate to advise and guide on corporate governance and corporate secretarial matters (including preparation for eBay Board of Directors, Corporate Governance and Nominating Committee, Audit Committee, and other board committee meetings).
Work closely with the Treasury function on capital markets transactions and other treasury matters, including stock repurchases, hedging programs and intracompany transactions.
As necessary, assist with overflow corporate legal work, including M&A, strategic transactions, executive compensation, equity and benefits.
Independently engage with functional partners, including Accounting, Finance, Treasury, Stock Administration, Communications, Investor Relations, Tax, Executive Compensation, Compliance, Privacy, and Litigation functions.
Collaborate with and contribute to the success and camaraderie of the Corporate Legal team and Legal & Government Relations global department.
Work collaboratively with internal team members and constituents and manage outside advisors, including active management of outside counsel.
Review SEC rules, as well as other relevant professional resources, on a regular basis to monitor changes to corporate governance rules and corporate governance trends.
Assist in responding to requests for information and documents from the company’s internal and external auditors, regulators, and other stakeholders.
JD degree with excellent academic credentials.
10+ years of relevant experience in securities law (’33 and ’34 Act) and SEC reporting matters and corporate governance issues.
Experience in M&A and other strategic transactions a plus.
In-house experience and experience at a law firm with a sophisticated corporate practice is highly desirable.
Excellent interpersonal, written and oral communications skills.
A high-level of intellectual, professional and social agility and flexibility, combined with strong analytical and problem-solving skills.
Ability to work collaboratively and effectively with business clients and other legal department members.
Team oriented with ability to exhibit eBay’s cultural values, a strong sense of humor, unquestioned ethics and integrity, sound judgment and high tolerance for ambiguity.
